Commercial Lawyer

Key Responsibilities:

Reporting to the Head of Legal, you will serve as a trusted legal advisor across the full spectrum of Vestone’s operations.

  • Draft, review and negotiate finance agreements.
  • Structure transactions in line with commercial, tax and risk objectives, and tailor documents for more complex or bespoke deals.
  • Prepare and negotiate ancillary documents such as NDAs, engagement terms, amendments, waivers and side letters.
  • Advise on Personal Property Securities Act (PPSA) issues, including registration, perfection and priority of security interests.
  • Review security packages and guarantees to ensure enforceability and alignment with the business’s risk appetite.
  • Support early-stage enforcement and workout scenarios in conjunction with credit, collections and external counsel.
  • Provide clear, pragmatic advice on regulatory and compliance matters relevant to asset finance and related financial services.
  • Help develop and maintain contract templates, clause libraries, playbooks and training for front-line teams.
  • Build strong relationships with internal stakeholders (sales, credit, operations, risk, treasury) and provide commercially focused legal input.
  • Mentor junior lawyers while maintaining a hands on, commercial focus.

About You:

To be successful in this role you will likely have:

  • 3–5 years’ post‑qualification experience as a commercial, banking & finance or corporate lawyer from a reputable law firm or in‑house team.
  • Be equally comfortable drafting complex finance documentation, navigating regulatory obligations, and supporting the business.
  • Solid exposure to finance, asset-based lending, equipment finance or broader banking and finance work (or strong interest in moving into this area).
  • Strong drafting and negotiation skills, with the ability to balance legal risk against commercial outcomes.
  • A proactive, solutions focused mindset with the confidence to engage directly with business stakeholders.
  • Excellent communication skills and the ability to explain legal issues in a clear, concise and commercial way.
